1. Introduction
Welcome to FileCheckout ("we," "us," or "our"). FileCheckout operates the website filecheckout.com and provides a digital file delivery platform for freelancers and their clients. By accessing or using our website and services, you agree to be bound by these Terms of Service. If you do not agree, please do not use the service.
2. Service Description
FileCheckout is a platform that allows freelancers to upload digital files, set a price, and generate a secure payment link. Clients who receive the link can preview watermarked versions of the files, pay through Stripe, and download the original un-watermarked files after payment is confirmed. FileCheckout facilitates this process but is not a party to the agreement between freelancers and their clients.
3. Accounts and Registration
To use FileCheckout as a freelancer, you must create an account and connect a Stripe account. You are responsible for maintaining the security of your account credentials. You must provide accurate and complete information during registration. Clients do not need to create an account to view deliveries or make payments.
4. Payments and Fees
FileCheckout uses Stripe Connect to process client payments. Payments go directly from the client to the freelancer's connected Stripe account. FileCheckout does not hold, escrow, or process client funds. FileCheckout charges freelancers separately based on their selected plan:
- Free plan: 3 deliveries per month, 200MB per delivery, 7-day storage
- Pay-as-you-go: $2 per delivery, 2GB per delivery, 15-day storage
- Pro: $15/month or $108/year, unlimited deliveries, 5GB per delivery, 30-day storage
Stripe's standard processing fees (currently 2.9% + $0.30 per transaction) apply to all payments and are charged by Stripe, not by FileCheckout.
5. File Storage and Retention
Files uploaded to FileCheckout are stored temporarily based on the freelancer's plan (7, 15, or 30 days). After the storage window expires, files are automatically deleted. FileCheckout is not a permanent storage service. Freelancers and clients are responsible for downloading and backing up their files before the storage window closes.
6. User Responsibilities
You are responsible for all content you upload and deliver using FileCheckout. You agree not to use the service to: deliver illegal, offensive, or copyright-infringing material; engage in fraud or deceptive practices; upload malware or harmful files; violate any applicable laws or regulations. We reserve the right to remove content and suspend accounts that violate these terms.
7. Intellectual Property
FileCheckout does not claim ownership of any files uploaded by users. Freelancers retain all intellectual property rights to their work. By using the service, you grant FileCheckout a limited license to store, display (as watermarked previews), and transmit your files for the purpose of providing the service.
8. Watermarked Previews
FileCheckout automatically generates watermarked preview versions of uploaded images and PDFs. These previews are intended to allow clients to verify the deliverables before payment. Watermarks are baked into the preview files and cannot be removed by clients. Original, un-watermarked files are only accessible after payment is confirmed.
9. Payment Disputes
FileCheckout is not responsible for payment disputes, chargebacks, or refund requests between freelancers and their clients. All payment disputes should be resolved between the freelancer, the client, and Stripe. FileCheckout may cooperate with Stripe in investigating disputes when required.
10. Limitation of Liability
FileCheckout is provided "as is" and "as available" without any warranties of any kind, express or implied. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or business opportunities. Our total liability shall not exceed the amount you paid to FileCheckout in the 12 months preceding the claim.
11. Termination
We may suspend or terminate your account at any time for violations of these terms. You may delete your account at any time. Upon termination, your uploaded files will be deleted in accordance with our retention policies.
12. Changes to Terms
We may update these Terms of Service from time to time. We will notify users of significant changes by posting a notice on our website. Continued use of the service after changes constitutes acceptance of the updated terms.
